Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VCXOS Management and Technologies LLP ("VCXOS," "we," "us," or "our") regarding your access to and use of the VCXOS Hub platform, including any related websites, applications, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Description of Service

VCXOS Hub is a Virtual CXO (Chief Executive Officer) platform that provides:

• Financial dashboard and KPI tracking
• Transaction management and categorization
• Bank statement import and processing
• Compliance task management and reminders
• CXO Digest reports and analytics
• Multi-tenant organization management

The Service is designed for businesses and professionals seeking financial clarity and compliance management tools.

Account Registration

Account Creation

To use the Service, you must create an account by providing accurate and complete information. You may register using:

• Email and password authentication
• Google OAuth single sign-on

Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. The Service is intended for business use and is not directed at consumers.

User Obligations

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Upload false, misleading, or fraudulent financial data
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to access the Service without permission
• Share your account credentials with others
• Use the Service to compete directly with VCXOS

Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all data you enter or upload to the Service. VCXOS does not verify user-submitted data and is not responsible for any errors or inaccuracies.

Organization and Team Management

Organization Ownership

When you create an organization, you become the Organization Owner with full administrative rights. Organization Owners can:

• Invite and remove team members
• Assign and modify user roles (Admin, Editor, Viewer)
• Access all organization data and settings
• Transfer ownership to another user
• Delete the organization

Team Member Roles

Users invited to an organization have access based on their assigned role:

• Admin: Full access except organization deletion
• Editor: Can create, edit, and view data
• Viewer: Read-only access to data and reports

Responsibility for Team Members

Organization Owners are responsible for the actions of all team members within their organization and ensuring team members comply with these Terms.

Financial Data and Compliance

Not Financial Advice

You should consult qualified professionals (Chartered Accountants, tax advisors, legal counsel) for all financial, tax, and legal matters.

Compliance Reminders

The Service provides compliance task tracking and reminders as a convenience feature. However:

• We do not guarantee the accuracy of compliance deadlines
• Reminders are provided "as-is" without warranty
• You remain solely responsible for meeting all compliance obligations
• VCXOS is not liable for missed deadlines or compliance failures

GSTIN Validation

The GSTIN validation feature performs format validation only. It does not verify the validity or active status of a GSTIN with government databases. You are responsible for ensuring the accuracy of all tax identification numbers.

Intellectual Property

Our Intellectual Property

The Service, including all software, features, designs, text, graphics, and other content, is owned by VCXOS and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your Data

You retain all rights to the data you upload or enter into the Service. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

Payment and Subscription

Pricing

The Service may be offered under various pricing plans, including free trials and paid subscriptions. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

Billing

For paid subscriptions:

• Payments are processed through our payment provider
• Subscriptions renew automatically unless cancelled
• All fees are non-refundable except as required by law
• You are responsible for all applicable taxes

Free Trial

If we offer a free trial, you may be required to provide payment information. You will not be charged until the trial period ends. You may cancel before the trial ends to avoid charges.

Service Availability

Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (we aim to provide advance notice)
• Unscheduled maintenance for critical updates
• Circumstances beyond our reasonable control

Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For significant changes affecting your use, we will provide reasonable notice.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in our Privacy Policy.

Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold harmless VCXOS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Data you upload or enter into the Service

Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature (when available). Upon termination:

• Your access to the Service will cease
• We will retain your data for a reasonable period to allow data export
• After the retention period, your data will be permanently deleted

Termination by Us

We may suspend or terminate your access to the Service immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay applicable fees
• Pose a security risk to the Service

Effect of Termination

Upon termination, provisions that by their nature should survive will remain in effect, including intellectual property, limitation of liability, and indemnification sections.

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through:

1. Negotiation: Good faith negotiations between the parties for at least 30 days
2. Arbitration: If negotiation fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in English in Mumbai, India

Jurisdiction

For any disputes not subject to arbitration, the courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes
• Displaying a notice within the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and VCXOS regarding the Service
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our consent; we may assign freely
• Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control
